Intellectual Property & Project Deliverables Policy
Who owns what during and after an engagement, when rights transfer, and what you may do with the files and code you receive.

This policy explains ownership. It covers the material you supply, the material we produce, the point at which rights in the finished work pass to you, and the small number of things that remain ours or belong to a third party. It applies to every engagement and should be read with the Web Consulting, Design and Development Services Terms.
01Material you supply
Everything you provide for the project remains yours. Logos, brand assets, photography, copy, product information, data and any existing site content stay your property throughout and after the engagement.
By supplying material you confirm that you hold the necessary rights to it and that you grant us permission to use it for the purpose of carrying out the work. That permission is limited to the engagement and ends when the work is complete.
We rely on your confirmation. Where material you supply infringes someone else's rights and a claim follows, responsibility for that claim rests with you.
02Material we produce
Work produced for your project, including strategy documents, wireframes, interface designs and front-end code written specifically for you, is created for your engagement and is intended to become yours.
Until the point of transfer described below, that material remains our property. This is a normal commercial protection and is not intended to restrict you once the engagement is complete and paid.
03When rights transfer to you
Rights in the final approved deliverables transfer to you when the engagement has been paid in full. Transfer happens automatically on receipt of final payment, and no further paperwork is required.
On transfer you receive full ownership of the final deliverables. You may use them commercially without restriction, modify them, extend them, and hand them to another supplier or an in-house team to continue the work. No further licence, permission or fee is required from us.
- Strategy documents — yours to circulate, adapt and act on internally.
- Design files — yours to edit, extend and reuse across your business.
- Front-end code — yours to deploy, modify and maintain, by anyone you choose.
- Exported assets — yours to use across any channel you operate.
04Before full payment
Before the engagement is paid in full, deliverables are supplied for review and approval only. They may not be published, deployed to a live site or used commercially during that period.
This is why deliverables are released on settlement of the final invoice. It is not a device to withhold work; it is the mechanism that makes payment on delivery workable for a small practice.
05Concepts not selected
Where several directions are presented and one is chosen, only the selected and completed direction transfers to you. Unselected concepts, discarded routes and intermediate explorations remain our property.
Those unselected concepts are not reused in a way that would identify your business or expose anything confidential you shared. If you want ownership of an unselected direction, it can be finished and transferred as separate quoted work.
06Working files and internal methods
The methods, templates, checklists, code patterns and general know-how we use to do the work remain ours. Nothing in a transfer of deliverables prevents us from using that general expertise on other projects.
This does not restrict you in any way. It means the underlying way we work is not itself sold with the project, while everything produced for you is.
Where our own reusable component or utility is embedded in your code, you receive a perpetual, irrevocable, royalty-free licence to use, modify and distribute it as part of your site. You never need to remove it or pay for it again.
07Third party components
Some deliverables include material licensed from third parties, such as typefaces, stock photography, icon sets or open source libraries. These are not ours to transfer and remain subject to their own licences.
- Licences bought for your project are registered in your name wherever the vendor allows it.
- Every third party component is identified in the handover notes with its licence and any restriction attaching to it.
- Open source libraries stay under their original licences, which permit commercial use in the way the code is delivered.
- Ongoing licence fees, where a component requires them, are your responsibility after handover.
We do not knowingly include material that cannot be used lawfully in the way your project requires.
08Our right to describe the work
Unless you ask us in writing not to, we may state that we worked with you and describe the type of work in general terms, for example the service provided and the sector.
We do not publish confidential details, commercial figures, strategy documents or unreleased material. If you prefer no mention at all, say so and we will not refer to the engagement publicly.
We do not place a credit or link on your site unless you ask for one.
09Your name and marks
Your trade marks, brand name and logo remain yours. Nothing in an engagement gives us any continuing right to use them beyond the limited description permitted above.
Where you ask us not to refer to the work, that request also removes any use of your marks in describing the practice.
10Infringement claims
We take reasonable care that original work produced for you does not infringe the rights of others. If a claim is made that original material we created infringes a third party's rights, tell us promptly and we will work to resolve it, including replacing the material where necessary.
That responsibility does not extend to material you supplied, to changes made by others after handover, or to use of the deliverables for a purpose materially different from the one agreed.
11After the engagement ends
Once rights have transferred you are free to continue the work with anyone. We are not required to be involved in future changes, and no ongoing relationship is implied by having produced the original work.
We keep a copy of what was delivered as part of the project record, retained as described in the Privacy Policy. Copies of your deliverables can be re-sent on request while that record exists.
12Changes to this policy
This policy may be updated as the practice changes. The date at the top of the page records when the current version took effect.
The version in force when your proposal was accepted governs that engagement. Rights already transferred are never affected by a later change to this page.
